Hi Kevin,
Initializing ERASES all data on the HD, or floppy or other media.

Optimizing is TechTool's word for a type of "defragmenting".
Defragmenting basically the gathering of scattered bytes of data 
to put them back back where they belong for efficiency of processing 
when they're needed.

When you optimize/defrag., you'll see a graph showing your "free space"
as one colour (blue) your directory bits as white, your software, etc.
You can watch the scattered bits being put back in place and are told the extent
of fragmentation as well.

I boot from a TechTool Pro 3 CD and Optimize that way.
If your HD is sleeping you get a much more complete defragmenting.
