this are my findings on how to constraint a model to another.
 
-The thing you cant constraint  is the MODEL it self,  ( the item with the 
little man icon, =)  )  but what you can do  is have  double null hirerchy 
inside the model to constraint.
-Select the null inside the model of the cat, and constraint that null to the 
hand inside the character model model.

in my experience the constraint is still there, its just not getting applied on 
reload.

if you look under the delta, storedconstraints, see if your constraint is 
listed. many times something changed, because of softimage's naming conflict 
resolution or because you made the constraint first then renamed one of the 
assets and softimage failed to update the delta. sometimes you can correct this 
by hand in the delta and reload the scene or re apply the delta. other times 
you can re make the constraint and resume from there.

there is also the 'models to reconnect to' parameter on the referenced model.
