OK, firstly, DEVICEHIGH makes no sense for EMM386, since nothing yet knows how to load 
stuff high at that point. Use DEVICE instead ...

Secondly, what is DEVIVEHIGH?

Thirdly, why aren't you using LH to load your AUTOEXEC.BAT stuff high too?

Finally, try "MEM /A /P", to see what gets loaded where, and how big it is once 
loaded. See also http://www.simtel.net/pub/pd/47821.html for "minload", this will 
usually tell you how big something is _while_ loading. You can only load something 
high if there is a big enough space available for both these numbers.
