Pretty box, and possibly some disk management/copying software, Y power
connecter and interface cable - possibly!

The manufacturer may even have 'selected' it from a batch with better/poorer
quality control, or component testing results.

Also check the warrantee terms.

Retail implies full compliance with  'sale to the public' laws.
OEM implies sale to a business that is going to sell on, and bear the
consequences of  'sale to the public' laws.

You may even persuade the supplier to sell an OEM windows version with an
OEM drive.

Other than that, it really depends on the suppliers terms of sale.
