So.....I didn't mention before.....but now I've found that 
converting avi1 to avi 2 by using Windows Movie Maker creates awful 
noise in the sound track.
I'd there's some overhead hissing that conversion adds using that 
program.

Can someone suggest another program, preferably freeware or 
shareware as a solid option for making the conversion cleanly?
