Look up your motherboard on thereteoweb.com That site has information, BIOS and driver downloads. With the last BIOS update it should be able to work with a 450 Mhz "Katmai" CPU, if it is an intel manufactured Seattle or Seattle-2 board. The 440 BX chipset's codename was Seattle, used on a large variety of motherboards.
Get a USB 2.0 PCI card for it if you're going to use anything more than a USB mouse and keyboard. If you're not using the two built in USB 1.x ports, see if there's a BIOS setting or jumper to disable them. It's 320 Mb, not Kb.
