Huum, i think judging by what you type here that you are not all too
familiar with Linux. If lilo is NOT rerun LILO will not work properly and
possably render your system unusable.
That possably explanes why you still have not written the ERROR messages in
a mail and posted it to this list.

Then i suspect that you DONT have APM support, as when a kernel is
configured with APM support that file is created at bootime by the kernel.

You cannot simply create /proc/ANYTHING the kernel does that.
/proc is a pseudo-filesystem.
