* A board member is retired from the board if she/he does not participate on the votes/discussions for a given time/given count.We need a really good definition for this to avoid trouble if someone is at holidays or has a busy time. Perhaps we should introduce a voluntary pausing if someone has no time for a defined period of time.
Of Course - that came to my mind, proposal:The member is retired after missing more than three votes. There must be at minimum 3 Month between the first and the third vote, if there are more than three votes witin three months, the first vote after the three months counts. A member can announce a voluntary pausing up to half a year, so the above rule is not applied during the announced time. During the pause the member is NOT counted for calculationg the necessary percentages. After the time passed, the board must reject the member with 2/3 of 2/3 - there is no "recursive" vote on such issues. If not majority is met the first time, the member is not rejected from the board.
The inquired person is considered as board member for this vote.

I suggest a 100% ack of at least 2/3 of the board members.

As dalini proposed, every board member can suggest a new one.
Decisson-Making: Point 3: 2/3 of 2/3 is equal 1/2 - so the second condition is redundant4/9 is not equal to 1/2. Perhaps we should not allow minority votings.
