I think there's a ubuntu server edition which would come with less  
overhead.

A minimalistic Linux installation will easily run with less than 64MB RAM.  
Add X and the usual suspects (Apache, Samba & Co.) and you'll be well  
above 128MB. If you want to run that machine in a VM you'll be happy not  
to dedicate 512MB to it.
