The VirtualBox manual (section 10.3) says this:
"VirtualBox’s 64-bit guest support (added with version 2.0) and
multiprocessing (SMP,
added with version 3.0) both require hardware virtualization to be enabled."

If that is XP x64, or you have more than one CPU defined for it, then
VirtualBox may well be forcing VT-x on.

Try also setting the number of CPUs to 1?
