Are you an active WhatsUp Gold service agreement holder?  If so, you should have received a notice that stated:
 
"...You are entitled to a free upgrade to WhatsUp Professional,
which you can download from the Ipswitch Download Center:

To log-in, use your new Ipswitch WhatsUp Professional 2005
serial number, which is {serial_number}, and your e-mail
