I probably would have hired these people as contractors, even the
manager, before committing to signing.  However, if they are all quality
people, go for it and good luck.

Since you have already signed people up, I believe you may deserve the
majority of the shares.  How much, I don't know.

If I were to start my own web company, I'm sure that I would be doing
most of the work.  We all know how much work it takes to create a simple
web application.  As far as managers go, they can make a decision, or
sell a product, in a matter of moments.  As the developer, however, it
could take days, or even weeks, to create that same product.

I don't want to belittle the managers/salespeople, but I grew up doing
the grunt labor in a wood cabinet manufacturing facility and I know the
importance of the grunts.

Those damn salespeople will be out wining and dining the clients and I
would be stuck here coding all day and night. :'(

If you can get them to agree to you having the larger share, then, more
power to you.

I certainly hope you keep this list up-to-date on how your company
goes/grows.

WEll, there were several negotiations etc. and initial client meetings.
Things like agreements, client meetings, liasing with clients etc. and
selecting partners for the job we did together more or less equally.

The shares is in the company as a whole. There is currently no capital
that needs to be provided to get this first project off the ground as
there is an advance payment that should more or less cover expenses.

We've already signed everything re: the company directors, we are both
directors on the company's incorporation records.It's just the shares
that need to be worked out at this point.
