If ATT and Comcast were to try to block suck a deal, I don't think
they have enough money to handle the bad press that would come there
way. Remember:

comcast: 43.7 Billion http://finance.yahoo.com/q?s=CMCSA

Comcast is already being slapped by the fcc for non net neutral practices.

Also keep in mind how much actual cash google has on hand.
I don't think Att wants to go up against google.
Google could buy comcast on a whim if they so desired.
