so you did adprep /forestprep adprep /domainprep adprep /domainprep /gpprep ??? You'll know it worked when you dcpromo the new 2008 server into a domain controller role and you don't get any error about the forest not being prepared

The changes that the code makes to AD shouldn't have anything to do with the version. Check for the highest numbered schxx.ldf file on the media with the diskprep... I'll find mine on the 32bit version media, and I'll bet they're the same ... I seriously doubt the schema is 32 bit or 64 bit dependent ...
