You can load 2000 over 98SE if you have the upgrade version of 2000, but it is not recommended since 98 is a very unstable Windows program compared to XP and 2000 which are NOT built on top of DOS.
If you can't easily backup all your data I would recommend splitting your drive into at least 2 partitions, move your important data onto the second partition, format the first partition as NTFS and install Windows 2000 there. Always backup your important files if at all possible. If you do somehow lose your partitions it is not true that they can't be totally recovered. ResQdisk does the job. OR... create another partition, leave your 98SE as is and install 2000 onto drive D: Now you will have dual boot (2000 automatically configures this for you without any user intervention). When you boot up there will be a menu to select Windows 98 or Windows 2000. You can easily change the menu so 2000 will be listed first and even boot in a second or so instead of the default 30 seconds. This way you can take your time dealing with the data and have total access to your files on C: using Windows Explorer. Always install 2000 using the NTFS files system for maximum stability (the install menu will ask - FAT32 or NTFS). Partition Magic is the most recommended program.
