Retail comes with *some* free MS support, OEM has none. Retail versions can
be *legitimately* transferred from a dead computer to a new one. OEM
versions are valid only for the first machine they are installed on, they
cannot be transferred. Retail versions - full or upgrade - can upgrade an
existing Win98, Win98SE, WinME or Win2K installation (a retail version of
WinXP Pro will upgrade an existing WinXP Home setup), OEM disks will not
upgrade anything.
