All of the new products have the moniker "CS3", such as Photoshop CS3,
Premiere Pro CS3, After Effects CS3, etc. However, I think the confusion
lies in the fact that some people refer to the entire suite of products
simply as "CS3"... which if you want to split hairs is not the proper name.
(Although we all know what they mean, so that's a bit picky on my part.)
 
Rather, Adobe has several package bundles (one for web, one for print, one
for video) such as "Production Studio CS3."
 
To answer the question about why not upgrade -- here's my top reasons FOR
upgrading:
 
1. Support for multicore and multi CPUs -- current version doesn't support
this
 
2. Improved memory management -- PPCS3 can support larger projects without
bogging down like current version
 
3. Improved slow motion -- no longer must we be embarrassed by the quality
of the slowmo. Plus, it has time-remapping features
 
4. Ships with OnLocation CS3 (formerly Serious Magic DVRack) -- This
software alone is worth the price of the upgrade, if not more so.
 
5. The bundled version also ships with Ultra CS3 (Formerly Serious Magic
Ultra)-- Which is (IMHO) the best keying software on the market.
 
6. Improved exporting speeds and expanded format options in Adobe Media
Encoder -- CS3 ships with a TON of presets for mobile devices, website
services (such as Google video, Youtube, etc.), Ipod presets, and better
Flash capabilities. 
 
7. (This doesn't pertain to me... but perhaps to others?) Support for
Windows Vista
 
8. Encore is now part of PPCS3 and ships with it -- if you don't currently
own Encore, you now get this as part of your upgrade price.
 
So to me... the answer to "why not" is: Don't upgrade if none of the above
apply to you or excite you.

It's a bit confusing to me and if you go to www.adobe.com and follow 
the Products link you'll see what I mean - Premiere is the traditional 
name for the editing sw but the latest versions are using the name 
Creative Suite 3 (CS3), except that there also is a Premiere Pro CS3.

The web site half-heartedly explains the differences but if you read 
the details close enough and over again enough times, it might become 
clearer. Actually I need to go back there to figure out when CS3 might 
be available...
