E2K3 SP1 allows for cross-site mailbox moves, which makes the upgrade easier. Don't think on a scale of servers, think on a scale of mailboxes as object here.
There's no need to move the 5.5 server - how many users are on that server? Unless you answer "500" or more, I'd consolidate to one server -- of course, take this with a grain of salt, as I know little about the number of folks in your organization. At some point in the future we will be upgrading them to 2003, it's just not a priority - I understood that however you choose to do things, once you have a 2003 server in a site you can't move a 5.5 server into that site?
