Yes, that appears to violate the prohibitions of the d20STL.  Maybe not in 
fact, but almost certainly in spirit.

Your alternatives are to either find a good lawyer and run with it, release 
without the d20 logo, or convice WotC to permit such a thing. (hey wait, 
that's why you posted to this list!)

In any case, you're on the worng list.  The OGL says "this is great, go 
head!"  It's the d20STL, and thus ogf-d20-l, that concerns you.
