Based on the current draft version of the D20 license guide you
shouldn't have a problem so long as:

1. You don't have "ability scores".
2. You don't describe the process of selecting a "race". (This one is
tricky to work around, assuming you have races.)
3. You don't describe the processing selecting a "class". (You can avoid
this by simply not having classes.)
4. You don't describe the selection of an alignment. (Don't use the
alignment system in your new rules.)
5. You don't describe assigning initial skillpoints or selecting initial
feats. (Again, a somewhat difficult one to work around.)

This is what "character creation" is defined as -- as long as you avoid
the definition, you haven't actually included "character creation" rules
(according to the d20 license).

The less cross-compatible your system is (vis a vis character creation
in particular), the less likely this is to cause problems or even
concern.
