While you're correct that their optical formulae are identical and that they are different cosmetically, there is a significant difference in the material used for the helicoid mechanism. The mark 2 version of the Canon 28-105 has a more durable material which helps preserve alignment over a longer period of usage. -- Glass, gas, and go.
