Josh, nice spending time with ya this week, but when you write:

He's listening and interacting here. That's the first step.
Legaleze like Terms Of Service agreements are hard to write. Nobody
knows what to do here, and paying lawyers to do this gets expensive...
and the lawyers can often come up with some draconian stuff anyway.
Usually people just copy TOS from other sites just to get it up and
get going. They often don't think about it and the users don't often
read it.

Not so fast. Look at Ourmedia's Terms of Service:

http://www.ourmedia.org/rules

The first line says:

1. You own your own material. Ourmedia claims no intellectual property
rights over the material you provide to our service.

Simple, straightforward. Who wrote it? Me, someone with no law degree.
Sure, a lawyer reviewed it afterward, but what your enterprise stands
for has to come down from the top.

Too many of us don't bother to read site TOS because we're trusting,
or think it won't affect us.  We need to get educated and push back
whenever we see outrageous terms such as these. Public exposure,
criticism and even ridicule are the first steps toward that end.

If I recall correctly, members of this list pushed back at BlipTV over
its original TOS, and they quickly revised them.

Let's see what YouAre.tv does in response. But I'd be surprised if
they follow Ourmedia's example.

All I'm saying is let's give them the opportunity to make adjustments
now that the issue has been brought up. Its probably not something the
service owners thought much about. Its likely they simply copied it
from somewhere else. Rather than continue to jump on them here, let's
give them the opportunity to make changes... they've listened and
responded to the feedback here and that's a good first start. They
have said they will revise the TOS and as yet I have no reason to
believe otherwise.

Hey Guys, 

Sorry for the super long post...

I am with YouAreTV, and I wanted to give you a brief on what we are
doing. We actually want to be very different than youtube and google
video. When we first started we wanted to be like all of the companies
out there, but we realized that all of the user experiences really
suck right now.  We want to provide an experience that does allow you
to find the content you want easier. 

To answer your comments, 

seems lke evryone is copying youtube. no feeds. no permalink directly
to video.
its all on their page. i guess its for people who dont want their own
blog...just upload to their site.


We are adding user page perma links, video page perma links, and
individual page permalinks. We are also looking at adding rss feeds
based on keyowrds, favorites and videos. Our goal is to allow you to
Get your video out there.
And when people are on YouAreTV, we want to enable you to create
communities and interest within the YouAreTV site. Right now
individuals selling content wont work because no one knows or cares
about your content, if you are able to generate interest within a
trusted community like YouAreTV people WILL be more willing to
purchase individually created content. We have seen examples of this
with Amazon and Ebay.

Welcome,

Well this is the problem. Some people wont be happy with that. Whilst
they remain they owner of the footage, they give you pretty much the
rights to do whatever you like with that video once they publish it
using your service.

If you got a deal on TV in future, you could show all the content that
people have published using your service, without giving them anything
extra. If you ran some cheesy TV adverts you could include bits of
peoples videos to promote your service.

From what I can tell you could also license other parties to make use
of the video, without needing the original creators consent.

This stuff does not make you evil, nor will you necessarily do any of
these things. Some people will have no problem with these terms, but
some people will and so its only fair to bring this kind of thing to
their attention before they use the service.

Then there is also the issue that not everybody supports derivative
works or wants that right automatically granted to other people. If
your site is entirely centered on mash-up stuff, then it makes sense
to make it a general part of the license. But you might consider
making it optional?

Thanks for the input. We'll certainly take a look at our terms.
However, this idea of rights for specific channel and don't touch
my content characteristics of old media companies, and explains why
they attempt the lock distribution channels, google had to develop
their own DRM scheme, and you can't play video you purchased through
their store on any of your portable devices,  you have to purchase a
CD, Ringtone, and digital version of the same song, and and why today
the RIAA is suing 13 year olds. We don't believe in that at YouAreTV. 

YouAreTV is not in business to rip off our content creators. Our goal
is to help you actually monetize your content down the line. Our
objective to do that is through distribution through many channels,
and allowing the viewers to consume that content in the way they choose.

We are neither producers or lawyers. All we want to do is help users
get their video out there. That is our mission. 

This is the first time EVER in history that individuals have had the
reach through video that they have had.

Imagine someone reporting from india when the earthquakes happen, or
from France when the riots happened. We think this is very powerful
and will one day provide better news than CNN, MSNBC or FOX.  And
because this is all so new, we all still are figuring out a model that
is equitable for everyone. 

All I want to say is that we don't have all of the answers, and are
still figuring it out. But we won't know until we see great content
that is on par with TV produced and consumed. In order to do that we
must ensure that everything we do is fair and equitable. And I promise
you, we will figure that out. 

But I do ask, that before you make a blanket statement about us being
EVIL, please shoot us a question. We are readily available to

conversation, is about 
as extreme as it gets in terms of taking advantage and it certainly feels 
gross to even 
think about.

I really do hate to get into this over a message board. 

But the terms basically say: 

1. You have rights to whatever you upload. 
2. You will always have those rigthts.
3. The stuff you upload you give YouAreTV NON-EXCLUSIVE rights to
distribute that content. 

With Current TV and other sites they lock your content up EXCLUSIVELY
for 3-6 months. 

Read the agreement, and this will not fit for everyones content, and
in that case maybe you CAN find a better want to distribute it, and
thats fine with us. This might not be the best channel.

I didnt read the agreement in its entirety, but in the bottom half of 'graph 5B the agreement reads:

For clarity,
you shall retain all of your ownership rights in your User Submissions.
However, by submitting the User Submissions to YouAre.TV, you hereby
grant YouAre.TV a worldwide, non-exclusive, fully paid-up,
royalty-free, irrevocable, perpetual, sublicenseable and transferable
license to use, reproduce, distribute, prepare derivative works of,
display, perform and otherwise exploit the User Submissions in
connection with the YouAre.TV Website and YouAre.TV's (and its
successor's) business, including without limitation for promoting and
redistributing part or all of the YouAre.TV Website (and derivative
works thereof) in any media formats and through any media channels.

I'm with you. Words like perpetual and irrevocable should always set  
off warning lights for any potential users.

Not to mention that kind of wording is incompatible with many uses of CC  
licensed material. Say I find a song licensed as by-nc. I say cool, I'll  
use that in my video. Then I upload to YouAreTv and I've already given  
away rights for the song that were not mine to give away! That's...  
counterproductive.

Perhaps I have misunderstood though it seems you have avoided my question:

1. Do you, youare.tv, get perpetual rights to the material? Yes?

The reason why this is so terrible for the content creator can be illustrated 
by the following 
example:

This xmas season, a guy made a video of his christmas tree lights that spread 
all around 
the internet and became one of the most memorable and cantagious videos ever.

Within about two weeks, the guy sold the video to a major beer advertiser.

If his video was on your system, the beer company could have called you to do 
the deal, 
undermining him entirely. 

The beer company could have also put you and the guy in a bidding war, happily 
watching 
the price fall to see who would make any money at all. 

Therefore, this model of your service, I believe, is hurtful for anyone who 
creates content 
that they feel is or ever could be worth anything more than $0.

Ted, 

Right now we don't make any revenue from you videos. This clause helps
us to avoid any user from coming back and sue us saying HEY YOU OWE
ME $XXX. We are taking our terms down temporarily, and will have
counsel edit them to clarify that the model will change once we allow
users to share in advertising, and allow them to sell content through
youare.tv.

But please be advised that we are not looking to rip our content
creators off. 

Thanks for the dialog... and if you have any content we'd love to see
it on the site one day ... :)

Andrew,

I am not legal, but in this case please keep in mind all we have are
the rights to distribute and edit that content. We don't own the
content itself. 

Under our agreement he still would have been able to sell it to the
beer company. Basically he sold the rights to the Beer company to
distribute that video. 

Logically, the beer company would go to the creator because in most
cases they will get it cheaper. Than through a broker. 

When you upload your video to YouAreTV you give us rights to
distribute that content, and use it in promotional activities for the
site. We can't pay every content creator for that content so for now
You have to give it for free. Once we figure out a model that works,
we will change our terms that reflect our partnership with that
content creator. 

Unfortunately we have to be in business, and have to protect ourselves
as you the content creator have to protect your content. We respect
that right and if you don't want YouAreTV to get your video out there,
then don't smear our name... just upload. 

We are just a few guys trying to build a good site seeing where
micro/individually created content goes. We are not out to get our
content creators...

Well it can be difficult to find the right balance with such terms 
conditions. Yours isnt he only service thats been talked about here
for having 'perpetual' and other things in the tc.

I mean you have to make the users grant you some rights or you wouldnt
have the right to distribute their videos. But theres a number of
things you could change that would probably help:

Lose the 'perpetual' bit. Some services let users remove content from
the site at any time in the future, and thus your right to distribute
the content doesnt need to be perpetual, just as long as the user
keeps it on the site.

Consider changing the stuff about your right to use peoples videos to
advertise your service. You'll get more goodwill from users if you
pick the content you may want to use in future to advertise
yourselves, and then ask the creators of those videos for permission.

Maybe consider making your system compatible with the creative-commons
way of doing things.

You'll still get users without making any of these changes, but some
people will be putoff.

Your project looks promising. Any service that can raise the
signal-to-noise ratio is welcome in that it is harder and harder to see
everything that is out there. I agree with you that the medium has
changed and the indepenent voice can carry much farther than in the
past, howecer we need to be careful not to repeat mistakes that exist
on other platforms.

After hearing feedback from some of us, I commend you for taking your
ToS under review, and will continue to watch your site develop.

 based on keyowrds, favorites and videos. Our goal is to allow you to

 communities and interest within the YouAreTV site. Right now
 individuals selling content wont work because no one knows or cares
 about your content, if you are able to generate interest within a
 trusted community like YouAreTV people WILL be more willing to

 with Amazon and Ebay.

permalinks to pages and individual videos is necessary for most people
on this group.

the idea is that you can store your video on youare.tv...
but can link to the actual video file on your personal website.
blip.tv is a champion of this.

youtube and other hosting companies appeal to the people who dont care
where their video is. Just get it up. put watermarks on it.
advertising. who cares.
but the real influences in the community probably wont digg this.

As an aside, up until a few weeks ago, I've kept up with every single message 
ever posted 
to this board.

It's difficult as I'm sure we all know to keep up but I think its a really 
important component 
to understand other people's perspectives on everything. I cant think of a 
better place to 
be for that reason.

Okay all... this is great feedback, but seriously let's cut the guy a break.
He's listening and interacting here. That's the first step.
Legaleze like Terms Of Service agreements are hard to write. Nobody
knows what to do here, and paying lawyers to do this gets expensive...
and the lawyers can often come up with some draconian stuff anyway.
Usually people just copy TOS from other sites just to get it up and
get going. They often don't think about it and the users don't often
read it.

Good sleuthing and great feedback. Now let's give this site/service a
chance to respond and improve.
